1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Customer”) and Maya Irwin Transformational Change Limited (“Maya Irwin”, “we”, “our”), a company incorporated in Scotland with its registered office at 99 Moira Terrace, Edinburgh EH7 6SJ, governing use of the Maya Irwin website and the Maya Irwin service (the “Service”).
By creating an account, purchasing a single report, or otherwise using the Service, you accept these Terms. If you are entering into them on behalf of an organisation, you confirm you have authority to do so.
2. The service
The Service is AI-assisted software for analysing interview transcripts, meeting notes and organisational feedback, producing structured outputs including themes, risks, readiness diagnostics and narrative drafts.
The Service is provided as decision-support software. It is not a substitute for qualified consulting, legal, clinical or HR advice. Customers remain responsible for the professional interpretation of outputs and for any decisions taken on the basis of them.
3. Accounts and access
You must provide accurate account information and are responsible for keeping credentials confidential. You are responsible for activity that occurs under your account.
We may suspend or terminate access to the Service if an account is used in breach of these Terms, or where necessary to protect the Service, other customers or third parties.
4. Customer content
You retain all rights in the content you upload into the Service (“Customer Content”). You grant Maya Irwin a limited, non-exclusive licence to host, process and transmit Customer Content solely to operate and improve the Service for you.
You warrant that you have the right to upload Customer Content, and that doing so does not breach any law, contract, confidentiality or privacy obligation. You are responsible for obtaining any consents required from interview participants.
5. Acceptable use
You agree not to use the Service to: (a) make medical, clinical, psychological or legal diagnoses; (b) attempt to re-identify anonymised individuals; (c) process content in breach of applicable law or the rights of others; (d) reverse engineer or probe the Service beyond what the law expressly permits; (e) resell or white-label the Service without our written agreement.
We may refuse or remove Customer Content or outputs that appear to breach these Terms or applicable law.
6. Fees, credits and billing
Subscription plans are billed in advance on a monthly or annual basis. Single reports and credit top-ups are billed at the point of purchase.
All amounts are in USD and exclude any applicable taxes unless stated otherwise. We may change pricing with 30 days' notice for recurring plans; existing prepaid credits and single reports are honoured at the price paid.
Late payment may result in suspension of the Service and recovery of reasonable collection costs.
7. Refunds
Monthly subscriptions can be cancelled at any time; access continues to the end of the paid period.
Single reports are eligible for a refund within 14 days of purchase if the diagnostic cannot be delivered as scoped. Credits are non-refundable once consumed.
8. AI-generated outputs
AI outputs (themes, quotes, scores, narrative drafts) are generated by automated systems and may contain errors, omissions or inconsistencies.
You are responsible for reviewing AI outputs before relying on them, for validating that they reflect the source material, and for signing off any work product derived from them. Maya Irwin does not warrant that outputs are complete, accurate or fit for a particular purpose.
9. Intellectual property
We retain all rights in the Service, including software, user interfaces, models, report templates and documentation.
You may use outputs produced for you in the ordinary course of your business, including sharing them with clients and stakeholders, subject to these Terms and any restrictions in your plan.
10. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and not less than a reasonable standard of care.
Customer Content is treated as confidential. We will disclose it only as necessary to provide the Service or where compelled by law.
11. Warranties and disclaimers
We will provide the Service with reasonable skill and care.
To the maximum extent permitted by law, the Service is otherwise provided “as is” without warranty of any kind, including warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Liability
Nothing in these Terms excludes or limits either party's liability where it cannot be excluded or limited by law (including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation).
Subject to that, each party's total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees paid or payable by you to us for the Service in that period. Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity or loss of data, except where that loss results from the other party's gross negligence or wilful misconduct.
13. Termination
Either party may terminate a plan at the end of its current term, or immediately if the other party materially breaches these Terms and does not remedy the breach within 30 days of notice.
On termination we will, at your request within 30 days, provide an export of Customer Content in a structured format. After that period we may delete Customer Content.
14. Governing law
These Terms are governed by the laws of Scotland. Disputes are subject to the exclusive jurisdiction of the Scottish courts, without affecting any mandatory consumer rights you may have under your local law.
